寄售协议

什么是寄售协议

寄售协议是委托人与代销人为明确双方的权利、义务和有关寄售的条件签订的协议。

寄售协议的主要内容

寄售协议规定了有关寄售的条件和具体做法，其主要内容如下：

1、协议双方之关系条款。

寄售人和代销人之间的关系，是一种委托代理关系。货物在出售前所有权仍属寄售人。代销人应按协议规定，以代理人身份出售商品，收取贷款，处理争议等，其中的风险和费用由寄售人承担。

2、寄售商品的价格条款。

寄售商品价格有三种规定方式：

规定最低售价；

由代销人按市场行情自行定价；

由代销人向寄售人报价，征得寄售人同意后确定价格，这种做法较为普遍使用。

3、佣金条款。

规定佣金的比率，有时还可增加佣金比率增减额的计算方法。通常佣金由代销人在货款中自行扣除。

4、协议双方当事人的义务条款。

代销人的义务。包括保管货物，代办进口报关、存仓、保险等手续并及时向寄售人通报商情。代销人应按协议规定的方式和时间将货款交付寄售人。有的寄售协议中还规定代销人应向寄售人出其银行保函或备用银行证，保证承担寄售协议规定的义务。寄售人按协议规定时间出运货物，并偿付代销人所垫付的代办费用。

此外，在寄售协议中，还应规定收受寄售商品的程序等内容。

寄售协议的范本

ABC公司，注册地在中国上海_______（以下称寄售人），与XYZ公司，注册地在_______（以下称代售人），按下列条款签订本协议：

ThisAgreementisenteredintobetweenABCCo.(hereinafterreferredtoastheConsignor),havingitsregisteredofficeat_______,Shanghai,ChinaandXYZCO.(hereinafterreferredtoastheConsignee),havingitsregisteredofficeat_______,onthefollowingtermsandconditions:

1、寄售人将不断地把_______（货物）运交给代售人代售。货物价格为市场CIF市价，约隔90天运交一次。

TheConsignorshallfromtimetotimeship______________(commodity)totheconsigneeonConsignmentbasisattheprevailinginternationalmarketpricesonCIFterms.Theintervalbetweeneachshipmentshallbeapproximatelyninetydays.

2、代售人在征得寄售人对价格、条款等到同意之后，必须尽力以最好价格出售寄售商品。

TheConsigneemusttrytoselltheconsignmentsatthebestpossiblepricesafterobtainingtheapprovaloftheConsignorastoprice,terms,etc.

3、开始阶段，每次船运货物的价格不得超过_______美元，代售人未偿付的货款不能超过_______美元。

EachshipmentbyshipattheinitialstagewillnotexceedU.S.D.________andtheoutstandingliabilitiesontheConsigneeshallbeinthevicinityofnotmorethanU.S.D._______only.

4、寄售人对赊销造成的坏账不负任何责任，代售人在任何时候均负有支付寄售人货款的义务。

5、代售人将接受寄售人开立的以代售人为付款人的90天远期汇票，年利_______%

TheConsigneeshallaccepttheBillsofExchangedrawnbytheConsignoronhimat90days'sightwithinterestpayableat________%perannum.

6、代售人以签字信托收据从寄售人银行换取包括提单在内的装运单据。

TheConsigneeshallcollecttheshippingdocumentsincludingB/LfromtheConsignor'sbankagainstTrustReceiptdulysignedbytheConsignee.

7、寄售人负担货物售出之前的保险费和仓储费。

TheConsignorshallabsorbinsurancepremiumandwarehousingchargesuptothedateofdeliverytocustomers.

8、寄售人必须遵守_______政府的规章。

Theconsignorshallobservetheregulationsofthegovernmentof_________.

9、本协议英文正本两份，双方各持一份。
